Welcome to Just Venue! We've created an online Site to help you find great spaces and the ability to host memorable events.

These Terms and Conditions of Service constitute an agreement between Just Venue and You as a user of this Website, Application or the services which Just Venue provides. We have put in the effort to make these Terms and Conditions easy to read and comprehend. Please take the time to read it carefully as it governs your use of our Site to search, book and list spaces.

By using our Site to search for a space, or to offer a space for hire, You agree to these terms and Conditions and any amendments which may be made from time.

These Terms of Service("Terms") form a legally binding Agreement("Agreement") between you and Just Venue Holding Ltd("Just Venue") As defined below. These Terms governing your access to and use of the Just Venue website, including any subdomains thereof, and any other websites through which Just Venue makes its services available (collectively, "Site"), our mobile, tablet and other smart device applications, and application program interfaces (collectively, "Application") and all associated services (collectively, "Just Venue Services"). The Site, Application and Just Venue Services together are hereinafter collectively referred to as the "Just Venue Site".

1. GLOSSARY OF KEY TERMS

"Account" means an account that is given to a user upon completion of the Just Venue registration procedure.

"Add-Ons" means any additional items, equipment, services or personnel that the Host provides in accordance with hiring a space.

"Agreement" means these Terms and Conditions of Service which may be amended from time to time.

"Business" means Just Venue's business of facilitating an online Site whereby:

  1. Host can post and list their Host Content and create listings for hiring of space;
  2. Both Guests and Hosts can message and communicate with each other through our Site Messaging Platform;
  3. Both Guests and Hosts can enter into a Hire Agreement for Space; and Guests can make payments for the Hire of the agreed space;

"Content" includes the text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features and other materials you may view on, access through or contribute to the Service.

"Claim" means a claim in law, in equity or otherwise and of whatsoever nature:

  1. including any and all claims, actions, Liabilities, rights and obligations for breach of contract, tort, statute, restitutionary claims and breach of trust;

  2. whether arising by reason of, amongst other things, insolvency or the termination, whether voluntary or for cause, of any contractual obligation or for any failure of a person to perform any contractual, legal or regulatory obligation or otherwise; and/or

  3. for, amongst other things, the enforcement of any right to, or any Liability in respect of a right to:

  4. seek or enforce judgment;

  5. exercise any remedy (for damages or otherwise), indemnity and contribution, whether for losses (including consequential loss, economic loss, loss of bargain, loss of value, or other losses computed by reference to value which may have been available had an obligation been duly performed in a timely manner, or otherwise), costs and expenses of any nature; or

  6. apply any set-off, netting, withholding, combination of accounts or retention or similar rights in respect of any claim or Liability whatsoever;

"Hire" means a short-term lease or hire under a limited licence to occupy, when a Host makes a space available for use by a Guest

"Hire Fee" means the fee (on an hourly basis) that the Host nominates to charge Guests for the Hiring of a Space.

"Host" means a person or entity that uses our Site to list a space for Hire using our Site

"Host Content" means all Content that a Host posts, uploads, publishes, submits, transmits, or includes in their Listing, Member profile or Just Venue's promotional campaign to be made available through the Site. This includes text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features and other material.

"Listing" means a Venue or Space that is listed by a Host, that is available to be hired on the Site.

"Messaging Platform" means the Messaging Platform contained within the site.

"Payment Period" means, the time in which the guest would be required to pay. This period is currently set to payment on confirmation of confirmed booking.

"Site" means the Website and/or Application.

"Fee Structure" means Just Venue's schedule of fees as amended from time to time.

"SNS" means any third party social networking site or platform.

"SNS Account" means an account a guest or a host owns with a social networking site or platform.

"SNS Content" means any User content that is provided to or stored in an SM Account.

"Privacy Policy" See Just Venue's Privacy Policy for information and notices concerning Just Venue's collection and use of any personal information.

"Space" A "Space" is the location or site that is made available to a Guest to use during specific times for a specific purpose (an "Event"), and subject to specific Fees and any site-specific terms or limitations. A Host may "List" a Space by providing certain details about the Space including, but not limited to, availability, pricing, and terms or limitations of use; this posting about a Space is called a "Listing."

"Guest" means becoming a member and accessing any of the information from our site and/or services or engage with any host via the site, or using any other aspect of the services we provide. You agree that you have read all of these Terms and Policies and you agree that you are legally bound by them.

WHO ARE WE?

"Just Venue" means Just Venue Holding Ltd, Company Registration Number 09410663 and registered address: The Vision Building, 20 Greenmarket, Dundee, DD1 4QB hereinafter referred to as "Just Venue", "we", "us", or "our")

"Just Venue's Intellectual Property (IP)" means all registered or potential patents, copyrights, trademarks, trade secrets, and other proprietary rights.

WHO ARE YOU?

"User" means before using our platform to place a booking, register a listing or use any of the other services, you must create an account with Just Venue ("Account") and provide us with information about yourself (as a Guest) or your company (as a Host). Any employees, contractors, or third-parties opening a new or using an existing account (collectively, "Agents") represent and warrant that they have authorisation to act on behalf of a person or entity they claim to represent and using the services offered by the site. Collectively all of the parties above will be known as users.

"You" and "your" refers to the individual users, Agents or entity that has executed this agreement ("agreement")

WHO ARE OUR PARTNERS?

"Stripe Means" Part of our website uses Stripe (185 Berry St #550, San Francisco, CA 94107, USA) as a processor of payment transactions and a provider of related services. We do not store any personal data or financial information such as credit card numbers in connection with the processing of such payments. All this information is sent directly to our third-party provider Stripe instead. The use of your personal data is covered by Stripe's Privacy Policy (https://stripe.com/us/privacy).

2. ACKNOWLEDGEMENT OF TERMS AND CONDITIONS

By creating an account, using our site in any way, you are accepting and agreeing that you are bound by this agreement.

We reserve the right to change or modify any of the terms and conditions contained in the Terms or any policy or guideline of the Sites, at any time and in our sole discretion. Any changes or modification will be effective immediately upon posting of the revisions on the Sites, and you waive any right you may have to receive specific notice of such changes or modifications. Your continued use of these Sites following the posting of changes or modifications will confirm your acceptance of such changes or modifications. Your continued use of any Just Venue's site or affiliate site will be deemed to be your acceptance of the applicable terms. By using Just Venue's Services as a casual visitor, or by completing the registration process you signify that you agree to this Agreement.

If you do not agree, then you may stop using the Services at any time. You do not need to specifically inform Just Venue when you stop using the Services.

3. REGISTERING ON JUST VENUE

To gain access to certain features of Just Venues site and in order to place enquiries, book a space or create a listing, you must register and create an account. On creating an account you become a User. In order to become a User you must provide your name, an email address, your date of birth and a password at the registration process.

On registering we create an Account and your Just Venue Profile.

You can also register with the use of a SNS network site such as Facebook Log In or Google Login. Please note that your relationship with the Third Party Account services provider is governed solely by your agreement with such Third Party services provider. Just Venue makes no effort to review any SS Content for any purpose, including but not limited to for accuracy, legality or non-infringement and Just Venue is not responsible for any SS Content.

At no time should you ever own more than one account, unless it has been agreed with Just Venue and you have received it in writing, prior to you creating multiple accounts.

You agree that all information will be accurate and up-to-date and you must complete information during the registration process and ensure that the content is kept up-to-date and complete.

We reserve the right not to accept or to suspend or remove from the Site and the Services all or part of any profile or any other User Content for any reason and, if we do so, we will not enter into correspondence with you regarding the suitability of such User Content.

If you create a password or any other authentication information as part of our security procedures, you must treat such information as confidential. You must not disclose it to anyone else and must take appropriate steps to keep your information secure by not using an obvious password and ensuring that you keep your password confidential and change it regularly. If you know or suspect that anyone other than you knows your password or any other authentication information, you should promptly notify us using the contact details below. You are entirely responsible for all activities that occur through use of your password. We are not responsible for any losses or liabilities arising out of or in connection with any unauthorised use of our service.

When registering with Just Venue you must:

  1. provide true, current and complete information about yourself on the registration form and

  2. maintain such information so it continues to be true, current and complete.

You must have a registered account in order to

  1. Become a Guest and Hire a Space

  2. Become a Host and List a Space

Collectively both users will be able to place, list and communicate through the site.

Upon successful completion of Your registration as a User

You will be required to provide an email address and password to keep your Account secure ("Verified"), and agree to keep your verification private and secure. You are solely responsible for the actions or communications of your Agents. We are not responsible for and disclaim all liability for use of your Account by your Agents. When creating or using your Account, you may be required to provide information about yourself and/or your Space, or provide optional information or comment on other users' Spaces or Supplier Services including text, images, or videos (collectively, "Content").

You will only provide Content to us that you own or have authorisation to provide, and ensure that Content is accurate and complete. You must keep any Content up to date, including your contact or payment information.

4. SOCIAL MEDIA (SNS)

You can also register to join as a Member by logging into your account with certain third-party social sites ("SNS") (including, but not limited to, Facebook, Google and Linkedin), (a "Third-Party Account"). As part of the functionality of the Site and Services, you may link your Just Venue Account with a Third-Party Account, by either:

  1. providing your Third-Party Account login information to Just Venue through the Site; or

  2. allowing Just Venue to access your Third-Party Account, as permitted under the applicable terms and conditions that govern your use of each Third-Party Account.

You represent that you are entitled to disclose your Third-Party Account login information to Just Venue and/or grant Just Venue access to your Third-Party Account without breach by you of any of the terms and conditions that govern your use of the Third-Party Account and without obligating Just Venue to pay any fees or making Just Venue subject to any usage limitations imposed by such third-party service providers. By granting Just Venue access to any Third-Party Accounts, you understand that Just Venue will access, make available and store (if applicable) any Content that you have provided to and stored in your Third-Party Account ("SNS Content") so that it is available on and through the Site, via your Just Venue Account and Just Venue Account profile page. Unless otherwise specified in these Terms, all SNS Content, if any, will be deemed to be Member Content. Depending on the Third-Party Accounts you choose and subject to the privacy settings that you have set in such Third-Party Accounts, personal information that you post to your Third-Party Accounts will be available on and through your Just Venue Account on the Site. If a Third-Party Account or associated services becomes unavailable or Just Venue's access to such Third-Party Account is terminated, then the SNS Content will no longer be available on and/or through the Site. You have the ability to disable the connection between your Just Venue Account and your Third-Party Accounts, at any time, by accessing the "Settings" section of the Site.

Please note that your relationship with the Third Party Account services provider is governed solely by your agreement with such Third Party services provider. Just Venue makes no effort to review any SNS Content for any purpose, including but not limited to for accuracy, legality or non-infringement and Just Venue is not responsible for any SNS Content.

5. PAYMENTS AND FEES

Just Venue uses Stripe to process payments made through the Site.

Stripe (185 Berry St #550, San Francisco, CA 94107, USA) as a processor of payment transactions and a provider of related services. We do not store any personal data or financial information such as credit card numbers in connection with the processing of such payments. All this information is sent directly to our third-party provider Stripe instead. The use of your personal data is covered by Stripe's Privacy Policy (https://stripe.com/us/privacy).

Guests Payments

We request your payment details at the time of placing a booking and process this payment through Stripe, this will be a temporary authorisation, your payment card will be charged at the time of the booking being accepted by the Host.

You will be charged

  1. The total amount payable to the Host for hiring of the space and any additional addon fees required by the host and;

  2. a fee in accordance with the Fee Structure ("Guest Charge"); if applicable.

You must ensure that You have sufficient available funds on your card to pay for your hire, You agree to indemnify Us at all times against all losses, actions, claims, demands, costs or expenses arising directly or indirectly from not having sufficient funds on your card or your failure to carry out any obligation under this Contract.

Host Payments

Once the Guest payment has been processes through the Stripe System, a fee in accordance with the Fee Structure("Host Fee") will be:

  1. Automatically deducted from the fee paid by the guest for the use of the Space and will be retained by us;

  2. The host fee is payable to Just Venue in order to secure the booking and provide the Site and is not refundable in any circumstances unless it's been prior agreed by Just Venue and forms part of the standard terms and conditions contained within this agreement.

Payment Processing Errors

Just Venue will do everything in its power to rectify any payment processing errors that develop once they are made aware. The normal steps would include crediting or debiting (as appropriate) using the same payment processing methods used for the original payment or payout.

Taxes

As a responsible host you understand and agree that you will solely be responsible for your own taxes based on your own local laws and legislation. You will be responsible for reporting your tax requirements and will be knowledgeable in knowing which taxes should be included and collected with your Listings. Additionally, Hosts are required to be fully transparent about any further fees or payments required for additional Spaces or Services at the time of Booking.

If as a Host you are registered for VAT it is your responsibility to provide us with your VAT number. It is also your responsibility to tell us whether VAT is chargeable on the hire of your space if you are registered for VAT. Just Venue will prepare VAT invoices between you and your Guests on your behalf. These will be based on the information provided by you and on record at the point in time that the invoice is raised. Just Venue cannot be held responsible for any incorrect VAT arising from the information provided by you as a Member. If you are unsure of your VAT status or whether you should be charging VAT on your Space you should take professional advice. Just Venue cannot and does not offer tax-related advice to any Members.

Where applicable and where a Host makes a request, Just Venue will use its reasonable endeavours to issue a valid VAT invoice to the Host in respect of the Host Fees.

6. MAINTAINING ACCURATE INFORMATION

Hosts

As a host you agree that:

By registering as a company or other legal entity as a Member, you accept and agree to these Terms on behalf of a company or other legal entity, you represent and warrant these Terms on behalf of a company or other legal entity, you represent and warrant that you have the appropriate authority to bind that company or other legal entity to these Terms and, in such event, "you" and "your" will refer and apply to that company or other legal entity.

You have no affiliation with Just Venue, are not an employee of Just Venue and are an independent contractor.

You agree that we bear no liability or responsibility in connection with your Listing or Hiring of your space.

As a Host, it's your responsibility for determining the host Hire Fee including any Add-ons.

If your Space Listing comes with any Add-Ons, then it is your responsibility to include full details and specifications of the Add-Ons for your listings and these are to ensure the information is correct and accurate. Just Venue will bear no liability or responsibility if this information is incorrect.

You will manage your own enquiries (through the use of our platform, by accepting and rejecting bookings and through our messaging platform or through the review and ratings system.

You understand that any offers or agreements, bookings or obligations that have been agreed with the gust will be applicable to consumer law and otherwise applicable laws.

You are in agreement that any responsibilities, agreements or otherwise are your sole responsibility and that We are neither a party to any transaction (otherwise accepted or not) These agreements are between You and any Guest, we not responsible for any obligations arising between You and any Guest.

You are required to comply with all local legislative laws to protect yourself and your guests. You must ensure that your space is safe, properly licensed and compliant with these laws.

It is important for you to be honest and fair in your space listings. This includes pricing, availability and condition of your space. Remember your guests will have not seen your space before and its important for you to meet their expectations when they arrive for their booking. This includes showing the full and true cost of the booking upfront so that the guest will not be expected to pay anything extra on arrival.

You are not permitted to list on our platform if you do not have the correct authorisation to do so. You must either be the owner, or have permission from the owner of the space in order to list. If you are employed by a company who owns the space then you must first seek permission from your management. If you rent the space from a Landlord, then you must ensure that you have the correct authorisation to do so.

You must ensure that you have obtained and will maintain the appropriate and adequate insurance coverage for the Spaces that You List. This insurance should include but limited to, public liability insurance. You must ensure that you comply with the terms of your insurance policy and know the limitations to ensure that you comply with these terms at all times. Although Just Venue will effect and maintain its own insurance policy from time to time (Which will cover various risks associated with Hiring of a Space) this will not modify or affect Your obligations under this agreement.

By posting your Host Content onto our Site, You grant us a licence to use this Host Content non-exclusively and in a royalty free sense for promotional materials, broadcasting purposes or in connection with the Site and the Business including using by third parties as required by us under general terms of use set by those third parties

Although Just Venue does not require you to set exclusivity for your Spaces, You agree that you will not offer any Space through any other source, including Your own advertising or website. at price or on more favourable than those offered through the Site.

As a host to the maximum extent permitted by law, You indemnify Just Venue in relation to any loss, damage, cost, expense, action or liability suffered or incurred by, or brought, made or recovered by any person against, Just Venue in connection with:

Your use of the Site; regardless whether you have listed or not.

  1. If a guest takes legal action against you in relation to Hiring of a Space listed by You;

  2. For any bookings that have been confirmed by and You as a Host and have been unable to deliver as per the agreement or by breach of any of Your warranties under this Agreement; or any other breach by You of this Agreement.

  3. You will release and discharge Just Venue to the fullest extent permitted by law from all Claims which You have, or had or may have against Just Venue in connection with this Agreement, the Hiring of a Space or Otherwise.

Guests

As a Guest you must acknowledge and agree;

To treat hosts and the space with respect. When filling out a request to book or using our instant book feature you should be honest and tell the host what you will be using the space for. It's up to our Host if they accept the booking or not and the types of event they want to permit in their space.

Never store, transport, or possess hazardous or illegal material in a Space. Hazardous and illegal goods are not permitted to be stored, transported or possessed during the duration of your booking. It's against Terms and Conditions and also is against the law.

Ensure all your information is true and up to date, including your profile, credit card information and ensure you have funds available in your account.

If the payment for Your Booking is denied for whatever reason, due to inadequate funds or other by your Bank the Host or Just Venue has the right to cancel without further notice to you, any such Bookings. Just Venue will not be liable for any loss or damage incurred as a result of your Booking being cancelled.

You represent and warrant that you have conducted your own research on the Host and their Space prior to confirming and paying for any booking.

You also agree that Just Venue is a booking platform and is neither a party to any transaction ( (whether confirmed or not) between You, the Guest and any Host. Neither is Just Venue responsible for any obligations arising between You and any Host;

Just Venue has no control of the conduct of the hosts, Guests and other users of the Site, Services or Space. Just Venue disparages all and/or part liability over the conduct of any Host(s), Guest(s) or any other user(s) of the site and Services or any Space to the maximum extent permitted by law.

You agree that you will only use and have access to the Space for the time period agreed between You and the Host. You must also agree to the hosts rules and if at anytime failure to comply with these rules, you may be asked to leave and termination of the Hire will commence immediately. You will not be entitled to any compensation for such termination.

The person confirming the booking has sole responsibility for their actions and the actions of invited people and guests("collectively known as invited people") who occupy or use the Space during the time of the Hire Period. You will ensure that these invited people are in compliance with all of the conditions in this Agreement and any agreements with the Host. Just Venue will accept no liability for such losses or damages that occur or follow as the consequences of any invited people.

7. PRIVACY POLICY

See Just Venue's Privacy Policy for information and notices concerning Just Venue's collection and use of any personal information.

By using the Site, You are deemed to have read, accepted and complied with the Privacy Policy.

Data Protection

Both parties will comply with all applicable requirements of the Data Protection Legislation, Applicable Laws means (for so long as and to the extent that they apply to the Data Processor of the information) the law of the European Union, the law of any member state of the European Union and/or Domestic UK Law; and Domestic UK Law means the UK Data Protection Legislation and any other law that applies in the UK.

The parties agree that where a party or their personnel is processing Personal Data as a Data Processor (where Data Controller and Data Processor have the meanings as defined in the Data Protection Legislation) such party shall, in relation to any Personal Data processed in connection with the performance of its obligations under this agreement:

Process that Personal Data only on the written instructions of the Data Controller unless the Data Processor is required by Applicable Laws to otherwise process that Personal Data. Where the Data Processor is relying on laws of a member of the European Union or European Union law as the basis for processing Personal Data, the Data Processor shall promptly notify the Data Controller of this before performing the processing required by the Applicable Laws unless those Applicable Laws prohibit the Data Processor from so notifying the Data Controller;

Ensure that it has in place appropriate technical and organisational measures to protect against unauthorised or unlawful processing of Personal Data and against accidental loss or destruction of, or damage to, Personal Data, appropriate to the harm that might result from the unauthorised or unlawful processing or accidental loss, destruction or damage and the nature of the data to be protected, having regard to the state of technological development and the cost of implementing any measures (those measures may include, where appropriate, pseudonymisation and encrypting Personal Data, ensuring confidentiality, integrity, availability and resilience of its systems and services, ensuring that availability of and access to Personal Data can be restored in a timely manner after an incident, and regularly assessing and evaluating the effectiveness of the technical and organisational measures adopted by it);

ensure that all personnel who have access to and/or process Personal Data are obliged to keep the Personal Data confidential; and

assist the Data Controller, at the Data Controller's cost, in responding to any request from a Data Subject and in ensuring compliance with its obligations under the Data Protection Legislation with respect to security, breach notifications, impact assessments and consultations with supervisory authorities or regulators;

notify the Data Controller without undue delay on becoming aware of a Personal Data breach;

at the written direction of the Data Controller, delete or return Personal Data and copies thereof to the Data Controller on termination of the agreement unless required by Applicable Law to store the Personal Data; and

The Data Controller (if the Customer) consents to the Data Processor appointing those parties set out in the Privacy Policy as a third-party processor of Personal Data under this agreement. The Data Processor confirms that it has entered or (as the case may be) will enter with the third-party processor into a written agreement.

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by Just Venue (i) via email (in each case to the address that you provide) or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

Unless specifically provided otherwise, rights arising under these Terms are cumulative and do not exclude rights provided by law.

General Data Protection Regulations (GDPR)

The information given by us relating to the GDPR (General Data Protection Regulation) is for information purposes only. It is not designed to be an exhaustive guide to the requirements of the GDPR. It is your responsibility to ensure that you comply with the provisions of the GDPR and related legislation. Each company's responsibilities relating to the GDPR will vary depending on individual circumstances; accordingly we will not be liable to you for your reliance on information provided in relation to the GDPR.

You warrant, represent, and undertake to us that Personal Data shall comply with the GDPR in all respects including, but not limited to, its collection, holding, and processing.

You shall be liable for, and shall indemnify (and keep indemnified) us in respect of any and all action, proceeding, liability, cost, claim, loss, expense (including reasonable legal fees and payments on a solicitor and client basis), or demand suffered or incurred by, awarded against, or agreed to be paid by, us and any of our Sub-Processors arising directly or in connection with:

(1) any non-compliance by you with the GDPR or other applicable legislation; (2) any Personal Data processing carried out by us and any of our Sub-Processors in accordance with instructions given by you that infringe the GDPR or other applicable legislation.

Data is stored securely in data centres managed by Digitalocean in the UK. They are one of the leading Managed Security Service Providers in the world. Thousands of organisations, including global enterprises, use this company. Digitalocean apply perimeter controls and these are unknown.

In terms of security, access to security logs are strictly controlled within our development team, we follow advice from Microsoft as to when security patches should be applied, and we use Cloudflare to monitor for unauthorised intrusion attempts.

In the event of a data breach, the point of contact at Just Venue is the Chief Operating Officer, Jamie Shankland, who is also our Data Protection Officer. He will invoke the data control procedure with the Chief Technical Officer, Robert Henderson, as required. Then we will report the breach to the relevant supervisory authority within 72 hours of the organisation becoming aware of it. We will notify affected venues within 48 hours of becoming aware of the breach.

Please note that consent given does not last forever. Personal information will be retained for the purposes of making a booking and for marketing. In the case of making a booking, personal data can only be used for a limited time, so you must ensure you have a retention policy in place. You will need to: review the length of time you keep personal data. consider the purpose or purposes you hold the information for when deciding whether (and for how long) to retain it. securely delete information that is no longer needed for this purpose or these purposes. update, archive, or securely delete information if it goes out of date.

At Just Venue, we've agreed our data retention period will be 18 months. This means we will delete Just Venue profiles after 18 months of inactivity.

8. OWNERSHIP

You acknowledge and agree that the Site, Services and Collective Content, including all associated intellectual property rights, are the exclusive property of Just Venue and its licensors. You will not remove, alter or obscure any copyright, trademark, Services mark or other proprietary rights notices incorporated in or accompanying the Site, Services, or Collective Content.

You acknowledge and agree that you are solely responsible for all Member Content that you make available through the Site and Services. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available through the Site and Services or you have all rights, licences, consents and releases that are necessary to grant to Just Venue the rights in such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission or transmittal of the Member Content or Just Venue's use of the Member Content (or any portion thereof) on, through or by means of the Site and the Services will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the breach of any applicable law or regulation.

Proprietary Rights Notices and Intellectual Property

All trademarks, Services marks, logos, trade names and any other proprietary designations of Just Venue used herein are trademarks or registered trademarks of Just Venue. Any other trademarks, Services marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties. Intellectual Property Policy means all registered or potential patents, copyrights, trademarks, trade secrets, and other proprietary rights.

Just Venue owns all right, title, and interest in the Platform, Services, and all intellectual property embodied or contained in them (individually and collectively, "IP"). IP includes all registered or potential patents, copyrights, trademarks, trade secrets, and other proprietary rights. Through your Account, we grant you a limited, temporary, revocable, non-transferable, non-exclusive license to use the Platform and Service for the purposes described in this Agreement and only as provided to you through the Platform. This license does not constitute a transfer of ownership or grant you any additional rights to use the IP. You may not register, claim ownership in, or sublicense the Platform, Services, or IP; use the Platform, Service, or IP in violation of this Agreement or Laws; or reverse engineer or copy all or any portion of the Platform, Service, or IP (except as expressly permitted). We may suspend or close your Account and pursue legal action against you if we believe or determine that your use of the Platform, Service, or IP exceeds the scope of this grant; or that you are attempting to hack or disrupt the use of the Platform, Service, or IP by others; or that you are otherwise interfering with the normal operation of the Platform or Service.

9. USE OF SITE

You must not attempt to undermine the security or integrity of Just Venue's computing systems or networks;

You must not use, or misuse, the Services in any way which may affect the functionality of the Services or Website, or other systems used to deliver the Services or impair the ability of any other user to use the Services or Website;

You must not attempt to gain unauthorised access to any materials other than those to which You have been given express permission to access or to the computer system on which the Services are hosted.

You must not attempt to modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer the Website except as is strictly necessary to use it for normal operation.

10. COMMUNICATIONS BETWEEN USERS

Just Venue uses a private messaging system on the Site, You as a Guest or a Host will have the opportunity to message each other directly. Just Venue will keep conversations between Guests and Hosts private and confidential at no time will Just Venue or its employees monitor private communications, unless a guest or a host has reported a users non-compliance with the Terms and Conditions, or the Guest or Host has explicitly requested help to resolve a Technical Issue.

11. ACCESS TO THIRD PARTY SERVICES

At certain points on the site, Just Venue may provide access to third party services (such as logging in authentication and verification service) Just Venue has no liability whatsoever for the provision of those services, the agreement of which is between you and the relevant third-party and is based on their terms and conditions.

12. GENERAL**

Our Services are only available to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, Our Services are not available to minors (persons under the age of 18) or to temporarily or indefinitely terminated Users. By becoming a User, You represent and warrant that You are at least 18 years old. By using the Services, You represent and warrant that You have the right, authority and capacity to enter into these Terms and to abide by the terms and conditions of this Agreement.

Just Venue is not responsible for any loss, inability, damages, delays or failures that occur due to hardware, software or inability to use the website resulting in delays or failure of confirmed bookings, when using the Site.

The Services are provided strictly on an "AS IS" basis. We are not responsible for the availability, timeliness or functionality of the Services, deletion or failure to store any content, saved selections if applicable, personalisation settings or any services provided by, communications from or things related to third parties.

Unless expressly notified in writing and signed by the Managing Director of Just Venue, our failure to enforce any our right or your strict performance of any provision of these Terms will not constitute a waiver of our right to enforce such provision or our right in future.

This Agreement supersede any and all other prior understandings and agreements, either oral or in writing, between the parties with respect to the subject matter hereof and constitute the sole and only agreements between the parties with respect to the said subject matter. All prior negotiations and agreements between the parties with respect to the subject matter hereof are merged into this Agreement.

Controlling Law and Jurisdiction

These Terms will be governed by the laws of Scotland and be enforceable only in a court of competent jurisdiction in Scotland.

Feedback and Contacting Just Venue

We actively encourage feedback from both our guests and hosts. We are continually looking to improve our site and services. You may submit Feedback by emailing us at hello@JustVenue.co.uk. We endeavour to act of any feedback or suggestions given to Just Venue. Although we cannot guarantee due to the influx of feedback that we will be able to act or implement every suggestion.

13. MODIFICATION OR TERMINATION OF THIS AGREEMENT

This is the exclusive agreement between Just Venue and You as User, Guest or Host, and may not be superseded, amended or modified, except by Just Venue in the manner described in the Agreement.

Host

If you remove yourself from the platform at any time, or have been removed as a result of a breach of contract, all your existing bookings will be cancelled and all guests will be notified. Guests will receive a full refund but we will retain any fees that may be payable to Just Venue.

Just Venue may terminate the participation of any User without cause by providing 7 days' notice of termination by e-mail to Your registered e-mail Address.

Guest

If you remove yourself from the platform at any time, or have been removed as a result of a breach of contract, all confirmed bookings will be cancelled and you will not receive any compensation in regards to lost bookings or any other expenses. The host will be entitled to retain any monies paid for any confirmed bookings.

Just Venue may terminate the participation of any User without cause by providing 7 days' notice of termination by e-mail to Your registered e-mail Address.
